RES-Q Broadband - 24-Month Service Agreement Terms & Conditions

Comprehensive Terms of Service - Albion Ventures, LLC

This 24-Month Service Agreement ("Agreement") governs the subscription to any RES-Q Broadband plan ("Service") provided by Albion Ventures LLC ("Company," "we," "us") where the customer selects a 24-month contract option. By activating and using the Service under a 24-Month contract, you ("Customer," "you") acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement, your specific Plan Summary, and the Company's universal Terms of Service and Acceptable Use Policy.

1. Definitions

1.1 Plan Summary

The specific document describing the Customer's chosen Service (e.g., "RES-Q Shield Basic Plan Summary," "RES-Q Roamer Infinity Plan Summary"), which details the monthly price, data allowances, and hardware.

1.2 Initial Term

The minimum service commitment period of twenty-four (24) consecutive months, beginning on the date of Service activation.

1.3 Hardware

The specific router, Mi-Fi device, UPS, and/or any associated cables and power supplies provided by the Company for use with the Service, as detailed in the Customer's Plan Summary.

1.4 Waived Monthly EaaS Fee

The specific monthly Equipment as a Service fee associated with the Customer's selected Hardware, which the Company waives in consideration for the Customer's commitment to the Initial Term. The value of this fee is defined in the Customer's Plan Summary.

1.5 Restocking Fee

A fee charged to the Customer if the Service is terminated for any reason prior to the completion of the Initial Term, as detailed in Section 5.

2. Service Term and Commitment

The Service requires a minimum commitment for the Initial Term of twenty-four (24) consecutive months. Following the conclusion of the Initial Term, this Agreement will automatically convert to a month-to-month basis at the then-current standard rates for your plan, unless terminated by either party with 30 days' notice.

3. Pricing and Fees

3.1 Monthly Recurring Charge (MRC)

The Customer's MRC, Regulation Fee, and any other recurring charges are defined in their selected Plan Summary.

3.2 EaaS Fee Waiver

In exchange for your commitment to the 24-month Initial Term, the Company agrees to waive the standard monthly EaaS Fee associated with your selected Hardware. The specific dollar amount of this waived fee is listed in your Plan Summary.

3.3 Activation Fee

A one-time Activation Fee will be charged on your first invoice. The amount is specified in your Plan Summary ($30.00 for Shield Plans, $40.00 for Roamer Plans). Activation fees are non-refundable.

4. Plan-Specific Terms & Restrictions

The Customer agrees to be bound by all terms, conditions, and restrictions outlined in their specific Plan Summary, including but not limited to:

4.1 Data Allowances & Overage

Data allowances and the costs for any data usage exceeding that allowance are governed by the terms in the Plan Summary.

4.2 Application & Website Restrictions

Certain plans (e.g., RES-Q Roamer Max, RES-Q Roamer Basic) are restricted to specific types of use. The Customer is responsible for adhering to the restrictions detailed in their Plan Summary and the associated policies found on our website.

5. Restocking Fee

If you cancel the Service for any reason before completing the 24-month Initial Term, you agree to pay a Restocking Fee of $150.00.

5.1 Acknowledgment

The Customer acknowledges that the Restocking Fee is not a penalty, but an agreed-upon charge to partially recover the costs and significant value of the Waived Monthly EaaS Fee provided by the Company over the full term.

5.2 Payment of Restocking Fee

The Restocking Fee will be charged to your payment method on file at the time of cancellation and is due immediately.

6. Hardware: Ownership and Return Policy

All Hardware is the property of the Company and is provided to you for use only during an active Service period. Upon termination of this Agreement for any reason, the Customer must return all provided Hardware in good working condition (normal wear and tear excepted) within seventy-two (72) business hours of cancellation, per the Master RMA Policy. Failure to return the primary Hardware device (Inseego Router or Mi-Fi) as required will result in a non-refundable Restocking Fee of $100.00. This fee is separate from, and in addition to, the Restocking Fee outlined in Section 5.

7. Termination by Company

The Company reserves the right to terminate this Agreement and your Service for non-payment of fees or for any breach of this Agreement, your Plan Summary terms, or the Company's Acceptable Use Policy. If the Company terminates your Service for cause during the Initial Term, you will remain liable for the full Restocking Fee as outlined in Section 5.

8. Customer Acknowledgment and Agreement

By proceeding with the purchase and activation of any RES-Q Broadband Service on a 24-Month contract, you explicitly acknowledge that you have read, understood, and agree to be bound by all terms and conditions outlined in this Service Agreement, your specific Plan Summary, including the 24-month Initial Term commitment and the applicable Restocking Fee.
